Sensus Consumer Terms of Service

Before you access our services, please read these Consumer Terms of Service.

These Consumer Terms of Service ("Terms") are a legally binding agreement between you and Sensus Intelligence, Inc., a Delaware limited liability company, doing business as Sensus ("Sensus," "we," "our," or "us"), governing your access to and use of the Sensus platform, website, apps, and related services for individuals (collectively, the "Platform"). By creating an account or using the Platform in any manner, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Please note: If you use the Platform on behalf of a company, organization, or other entity, or under a plan purchased by one, your use is governed by our Commercial Terms of Service instead of these Terms.

Please also read our Privacy Policy and our Disclaimer, each of which is incorporated into these Terms by reference.

IMPORTANT: SECTION 17 CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.

1 Description of Service

Sensus is an evidence-based intelligence platform that provides structured analysis of real-world events. The Platform uses artificial intelligence, including models provided by third parties, to generate structured analysis (collectively, the "Content"). Probabilistic estimates are statistical outputs derived from available information at a point in time; they are not predictions or guarantees of any outcome. Sensus may add, modify, or remove features at its sole discretion.

Sensus is not a prediction market, exchange, broker, or trading venue. The Platform does not accept, place, route, or facilitate trades, wagers, or event contracts of any kind, and nothing on the Platform is a solicitation or recommendation to trade on any prediction market or other venue.

2 Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher, to use the Platform. By using Sensus, you represent and warrant that (i) you meet this age requirement; (ii) you have the legal capacity to enter into these Terms; and (iii) your use of the Platform complies with all applicable laws and regulations in your jurisdiction.

3 Accounts

Certain features of the Platform are accessible without an account. Full access requires registration with a valid email address. You agree to provide accurate, current, and complete account information; maintain the confidentiality of your login credentials and not share them with others; notify us immediately at info@sensus.market of any unauthorized access to or use of your account; and accept responsibility for all activity that occurs under your account. Communications sent to the email associated with your account satisfy any legal notice requirements. Sensus reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect involve fraudulent activity. Your account is for your personal use only; business and organizational use requires a subscription under our Commercial Terms of Service.

4 Free Trial, Subscriptions, and Automatic Renewal

Beta and free trial

During the Sensus beta period, eligible users may access certain features through a limited free trial. Before you begin any free trial that converts to a paid subscription, we will clearly disclose the length of the trial, the fee that will be charged when it ends, and how to cancel — and we will charge you only after you have affirmatively consented to those terms. Unless you cancel before the trial ends, your paid subscription will begin automatically.

Automatic renewal

Fees; payment; refunds

Fees are processed through Stripe. All fees are non-refundable except as required by applicable law, as expressly stated in these Terms, or under our then-current refund policy published on the Platform. We may change fees prospectively with at least 30 days' notice; increases apply beginning with your next renewal, and you may cancel before then if you do not accept them.

5 No Financial, Investment, or Betting Advice

THE PLATFORM DOES NOT PROVIDE FINANCIAL, INVESTMENT, TRADING, LEGAL, TAX, BETTING, OR ANY OTHER PROFESSIONAL ADVICE. All Content is for informational and educational purposes only and does not constitute a recommendation or solicitation to buy, sell, or hold any asset, security, commodity, derivative, event contract, or other financial instrument, or to place any wager. Sensus is not a broker-dealer, investment adviser, commodity trading advisor, or fiduciary, and is not registered with the SEC, CFTC, FINRA, or any other regulator in any jurisdiction.

Probabilistic estimates are not guaranteed to be accurate, and past performance of any estimate is not indicative of future results. Content concerning elections is informational only and is not an endorsement of, or opposition to, any candidate, party, or ballot measure. Sports betting and other wagering are illegal in some jurisdictions and age-restricted everywhere they are legal; you are solely responsible for complying with the laws of your jurisdiction. Consult a qualified professional before making any financial, investment, or other significant decision.

6 AI-Generated Content; No Reliance

The Content is generated by artificial intelligence systems, including large language models provided by third parties. These are frontier technologies still improving in accuracy, reliability, and safety. When you use the Platform, you acknowledge and agree that:

• Content may not always be accurate and may contain material inaccuracies even if it appears accurate because of its level of detail or specificity;
• probabilistic estimates are statistical outputs, not predictions or guarantees, and actual outcomes may differ materially;
• Content is derived from publicly available third-party sources that we do not independently verify, and it may not reflect correct, current, or complete information;
• you should not rely on any Content without independently confirming its accuracy;
• Content does not reflect the views of Sensus; and
• you are solely responsible for decisions you make or actions you take based on the Content, including any trading or wagering decision.

7 User Conduct and Acceptable Use

You agree not to use the Platform, or help anyone else use it:

• to violate any applicable law, regulation, or third-party right, including securities, commodities, gambling, election, and export control laws;
• as the basis for buying or selling securities, commodities, derivatives, event contracts, or other financial products, or for providing or receiving advice about them;
• to place, accept, or facilitate wagers, or as the basis for any gambling decision;
• to develop products or services that compete with the Platform, including to train artificial intelligence or machine learning models on the Content, or to resell the Platform or the Content;
• to crawl, scrape, or otherwise harvest data or Content from the Platform, or to access it through automated means (bots, scripts, crawlers), without our express written consent;
• to reverse engineer, decompile, or attempt to extract the source code, models, prompts, or proprietary algorithms underlying the Platform, except where these restrictions are prohibited by law;
• to misrepresent Content as human-generated or as verified fact, or to remove any disclaimer or attribution we attach to Content;
• to upload or transmit viruses, malware, or other harmful code, or to interfere with or disrupt the Platform or bypass its protective measures;
• to harass, threaten, or harm any person, misrepresent your identity, or deceive any person; or
• for market manipulation or any other unlawful purpose.

We may investigate violations and take appropriate action, including suspension or termination.

8 Intellectual Property; License; Feedback

All content and materials on the Platform — including text, graphics, logos, forecasting models, reasoning outputs, data compilations, statistics, software, and the Platform's overall design — are owned by or licensed to Sensus and are protected by copyright, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Platform and use the Content solely for your personal, non-commercial purposes. You may not copy, reproduce, distribute, publicly display, modify, create derivative works from, or commercially exploit any Content without our express written permission, except brief excerpts with attribution to Sensus.

If you provide feedback, ideas, or suggestions, we may use them without restriction or obligation to you.

9 Copyright Complaints (DMCA)

If you believe material on the Platform infringes your copyright, send a notice compliant with 17 U.S.C. § 512(c)(3) to our designated Copyright Agent at info@sensus.market with the subject line "DMCA Notice." We respond to valid notices and may terminate repeat infringers' accounts.

10 Third-Party Services and Platforms

The Platform may reference, link to, or integrate with third-party prediction markets, data providers, exchanges, news sources, or other external services. Third-party content is the responsibility of the person or entity that provides it. Sensus does not control, endorse, or assume responsibility for the content, accuracy, availability, privacy practices, or terms of any third-party service, and your interactions with third parties — including any trading on a prediction market — are solely between you and that third party, at your own risk, and subject to that third party's terms.

11 User-Generated Content

Sensus may in the future allow users to submit comments or other content. When that feature launches, you will be presented with additional terms governing user-generated content, including the license you grant Sensus to use, display, and distribute such content.

12 Disclaimer; Disclaimer of Warranties

THE PLATFORM AND THE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, TIMELINESS, OR AVAILABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE. SENSUS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY STATISTIC OR PROBABILISTIC ESTIMATE IS ACCURATE OR THAT ANY ESTIMATED OUTCOME WILL OCCUR. NO ADVICE OR INFORMATION OBTAINED FROM THE PLATFORM CREATES ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Statistics, analyses, and probabilistic estimates are statistical outputs — not predictions or guarantees of any outcome. Nothing on the Platform constitutes financial, legal, tax, investment, betting, or other professional advice, or an offer or recommendation to buy or sell any security or place any wager. Verify information independently and make your own decisions.

13 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENSUS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (THE "SENSUS PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR THE CONTENT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, FINANCIAL, TRADING, OR WAGERING LOSSES, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF FORESEEABLE. IN NO EVENT SHALL THE SENSUS PARTIES' TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SENSUS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS ARE ESSENTIAL TO THESE TERMS, AND WE WOULD NOT OFFER THE PLATFORM WITHOUT THEM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. OUR LICENSORS AND SERVICE PROVIDERS ARE INTENDED THIRD-PARTY BENEFICIARIES OF SECTIONS 12 AND 13.

14 Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Sensus Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with: (i) your use of or access to the Platform or the Content, including any trading, wagering, or other decision you make based on the Content; (ii) your violation of these Terms; (iii) your violation of any applicable law or regulation or third-party right; or (iv) any claim that content you provide infringes the rights of a third party. We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

15 Termination

You may close your account at any time through your account settings or by contacting info@sensus.market. We may suspend or terminate your access at any time if we believe you have violated these Terms or if required by law; in that case you are not entitled to a refund. If we terminate a paid subscription without cause, we will refund, pro rata, prepaid fees for the remaining portion of your subscription. Upon termination, your right to use the Platform ceases and we may delete data associated with your account. Sections 4 (as to outstanding fees), 5, 6, 8, and 12 through 18 survive termination.

16 Modifications to These Terms

We may update these Terms from time to time — for example, to reflect changes to the Platform, for legal or security reasons, or to prevent abuse. If we make material changes, we will notify you before they take effect by email to the address associated with your account or by prominent in-product notice, and we will update the effective date above. Your continued use after the updated Terms take effect constitutes acceptance; if you do not accept, you must stop using the Platform.

17 Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT REQUIRES ARBITRATION OF DISPUTES ON AN INDIVIDUAL BASIS AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

Informal resolution first

Before filing a claim, you and we agree to try to resolve the dispute informally: send a written notice describing the dispute to info@sensus.market, and we will do the same to your account email. If the dispute is not resolved within 60 days, either party may proceed as set out below.

Arbitration

Any dispute arising out of or relating to these Terms, the Platform, or the Content will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may (a) bring an individual claim in small claims court, or (b) seek injunctive or other equitable relief in court for infringement or misuse of intellectual property rights. The Federal Arbitration Act governs this Section. Arbitration will take place in your county of residence or remotely by videoconference. For consumer claims, we will pay arbitration fees to the extent required by the AAA rules and applicable law.

Class action waiver

Opt-out

You may opt out of this arbitration agreement by emailing info@sensus.market within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out.

18 Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles, except that the Federal Arbitration Act governs Section 17. Any claims not subject to arbitration will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and the parties consent to personal jurisdiction there. Nothing in this Section deprives a consumer of the protection of mandatory consumer protection laws of their state of residence.

19 Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy, the Disclaimer, and any supplemental terms we post for specific features, constitute the entire agreement between you and Sensus regarding the Platform.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver. Our failure to enforce any right or provision is not a waiver.
• Assignment. You may not assign your rights under these Terms without our prior written consent; we may assign our rights freely.
• Force Majeure. Sensus will not be liable for any delay or failure resulting from causes beyond our reasonable control.
• Export Controls. You may not use or export the Platform in violation of U.S. export control and sanctions laws, and you represent that you are not located in an embargoed country or on any U.S. restricted-party list.
• Brand. You may not use our name, logos, or trademarks without our prior written permission.
